By accessing or using ThinkHive’s services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you’re using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

ThinkHive provides an AI agent observability and improvement platform that enables you to:

• Capture and analyze AI agent interactions (traces)
• Identify failure patterns and quality issues
• Generate and test fixes for agent behavior
• Monitor agent performance and compliance

3. Account Registration

3.1 Account Requirements

To use the Services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Be at least 18 years old (or age of majority in your jurisdiction)

3.2 Account Security

You are responsible for:

• All activity under your account
• Maintaining confidentiality of your password
• Notifying us immediately of unauthorized access

4. Acceptable Use

4.1 Permitted Use

You may use the Services to:

• Analyze your own AI agents’ behavior
• Store trace data you have rights to
• Generate insights and improvements for your agents

4.2 Prohibited Use

You may NOT:

• Use the Services for illegal purposes
• Transmit malicious code or attempt to breach security
• Resell or redistribute the Services without authorization
• Submit data containing illegal content
• Attempt to reverse engineer the Services
• Interfere with other users’ access to the Services
• Violate intellectual property rights
• Submit data you don’t have rights to process
• Use the Services to build a competing product

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you submit to the Services (“Your Data”). By using the Services, you grant us a license to process Your Data as necessary to provide the Services.

5.2 Data Processing

We process Your Data in accordance with our Privacy Policy. For customers requiring specific data protection terms, we offer a Data Processing Agreement.

5.3 Data Security

We implement industry-standard security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security.

6. Intellectual Property

6.1 Our IP

ThinkHive and its licensors own all rights to the Services, including:

• Platform software and code
• User interface designs
• Documentation
• Trademarks and logos

6.2 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

7. Fees and Payment

7.1 Pricing

Current pricing is available at app.thinkhive.ai/pricing. We may change pricing with 30 days’ notice.

7.2 Billing

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You are responsible for applicable taxes

7.3 Free Tier

The free tier is provided “as-is” with limited features and no SLA.

8. Service Level

8.1 Availability

We target 99.9% uptime for paid plans. See our SLA documentation for details.

8.2 Support

Support levels vary by plan:

• Free: Community support only
• Starter: Email support (48h response)
• Professional: Priority email support (24h response)
• Enterprise: Dedicated support with SLA

9. Term and Termination

9.1 Term

These Terms remain in effect while you use the Services.

9.2 Termination by You

You may terminate your account at any time through Settings. Upon termination:

• Your access to the Services will end immediately
• We will delete Your Data per our retention policy
• No refunds for prepaid fees

9.3 Termination by Us

We may suspend or terminate your account if:

• You breach these Terms
• You fail to pay fees
• We discontinue the Services (with 90 days’ notice)

9.4 Survival

Sections on IP, limitation of liability, and indemnification survive termination.

10. Disclaimer of Warranties

We disclaim all warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy of results

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability is limited to fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, data, or business opportunities

12. Indemnification

You agree to indemnify and hold ThinkHive harmless from claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of third-party rights
• Your Data

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Delaware, USA.

13.2 Arbitration

Disputes will be resolved through binding arbitration under AAA Commercial Arbitration Rules, except for claims eligible for small claims court.

13.3 Class Action Waiver

You waive the right to participate in class actions or class arbitrations.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any Order Forms, constitute the entire agreement.

14.2 Modifications

We may modify these Terms with notice. Continued use after modifications constitutes acceptance.

14.3 Assignment

You may not assign these Terms. We may assign them in connection with a merger or acquisition.

14.4 Severability

If any provision is unenforceable, the remaining provisions remain in effect.

14.5 No Waiver

Failure to enforce a provision does not waive our right to enforce it later.
